These Terms of Service ("Terms") govern your access to and use of the SideClick platform and website at sideclick.studio (the "Service"), operated by SideClick LLC ("SideClick," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be at least 18 years of age and have the legal authority to enter into these Terms. If you are using the Service on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.
SideClick provides an AI-powered platform that helps photographers automatically analyze, categorize, and curate photo galleries for use in social media content. Features include AI-based image classification, template-driven carousel creation (SideClick Studio), gallery management tools, and Instagram publishing. When you connect your Instagram account, SideClick can post content to Instagram on your behalf based on carousels you create within the platform.
You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account credentials confidential. You are solely responsible for all activity that occurs under your account. Notify us immediately at help@sideclick.studio if you suspect unauthorized access to your account.
You retain all intellectual property rights to the photos and other content you upload to the Service ("Your Content"). These Terms do not transfer ownership of Your Content to us.
By uploading Your Content, you grant SideClick a worldwide, non-exclusive, royalty-free license to host, store, display, process, and analyze Your Content for the purpose of providing and improving the Service. This includes using Your Content to generate AI-powered image categorizations, tags, and carousel recommendations; display your images within the platform; create and render carousel previews and templates; publish content to Instagram on your behalf when you initiate a post; and train, fine-tune, test, and improve our AI and machine learning models.
You represent and warrant that you own or have obtained all necessary rights, licenses, and permissions to upload Your Content; your Content does not infringe the intellectual property, privacy, or other rights of any third party; you have obtained consent from any identifiable individuals depicted in photos where required by applicable law; and Your Content does not violate any applicable laws or regulations.
We reserve the right (but have no obligation) to remove any content that we believe in our sole discretion violates these Terms or applicable law, without notice or liability to you.
The Service allows you to connect your Instagram account to publish content directly from SideClick. By connecting your Instagram account, you authorize SideClick to access your Instagram profile information and post content on your behalf. You remain solely responsible for all content published to your Instagram account through the Service.
Your use of Instagram through SideClick is also subject to Meta's Terms of Service and Instagram's Terms of Use. You agree to comply with those terms in addition to these Terms. SideClick is not responsible for any actions taken by Meta or Instagram regarding your account.
You can disconnect your Instagram account at any time from your SideClick account settings. Disconnection immediately revokes SideClick's access to your Instagram account. See our Privacy Policy for details on how we handle your Instagram data upon disconnection.
The Service is offered on a subscription basis at pricing tiers displayed on our website. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. Your billing cycle and image processing limits reset on your account anniversary date each month. All fees are non-refundable except where required by law or at our sole discretion. We reserve the right to change our pricing with at least 30 days' written notice to your registered email. If you do not cancel before the next billing date, you will be charged at the updated rate. You may cancel your subscription at any time; cancellation takes effect at the end of your current billing period.
You agree not to use the Service to:
All software, platform features, AI models, templates, user interface elements, and other technology comprising the Service are owned by SideClick and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purposes during the term of your subscription. You may not copy, modify, distribute, or create derivative works of any part of the Service without our express written permission.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by law, SideClick expressly disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement; warranties that the Service will be uninterrupted, error-free, or secure; warranties regarding the accuracy, completeness, or quality of AI-generated tags, suggestions, or categorizations; and warranties that your content or data will not be lost or corrupted. AI-generated outputs are provided for convenience only and should be reviewed by you before use.
To the maximum extent permitted by applicable law, in no event shall SideClick, its owners, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages; loss of data, content, revenue, profits, or business opportunities; damages arising from unauthorized access to or alteration of your content; damages arising from third-party service outages; or damages arising from your reliance on AI-generated outputs. In all cases, our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total fees paid by you in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100). Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the fullest extent permitted by law.
You agree to indemnify, defend, and hold harmless SideClick and its owners, officers, employees, and contractors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service; Your Content, including any claims that Your Content infringes the rights of any third party; content you publish to Instagram through the Service; your violation of these Terms; or your violation of any applicable law or regulation.
We may suspend or terminate your account and access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. You may terminate your account at any time by contacting us or through account settings. Termination does not entitle you to a refund of any prepaid fees. Sections covering intellectual property, indemnification, limitation of liability, disclaimers, and governing law shall survive termination.
We do not guarantee that the Service will be available at all times. The Service may be interrupted due to maintenance, infrastructure issues, or circumstances beyond our control, including outages from third-party cloud providers. We are not liable for any loss resulting from Service downtime or interruptions. We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of significant changes where practical, but are not obligated to do so.
These Terms shall be governed by and construed in accordance with the laws of the State of Kansas, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.
You agree that any dispute resolution proceedings shall be conducted on an individual basis and not in a class action or representative action.
We may update these Terms from time to time. When we do, we will update the Effective Date at the top of this page and notify you by email or through the Service. Your continued use of the Service after notice of changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.
